Acceptance
By downloading, installing or using Ubimate you agree to these terms. If you do not agree, do not use it. They cover the desktop app, the mobile apps, the web app, and the sync and collaboration services.
License to use the apps
You have a personal, non-exclusive, non-transferable license to install and use the desktop and mobile apps on devices you own or control, for personal or commercial work. They are free and not feature-limited. You may not:
- reverse-engineer, decompile or disassemble them, except where the law says you may;
- redistribute or resell them as your own product;
- remove or alter copyright or license notices.
Cloud services
Sync and real-time collaboration are optional and paid. Subscribing to them, you also agree that:
- keeping your credentials secure is yours to do;
- an account is for one person, and usage limits are not to be worked around;
- the service is best-effort. We target 99.5% monthly availability and do not guarantee it.
When a subscription ends, however it ends, sync stops and what the relay was holding for it is kept for 30 days and then deleted. Restarting inside those 30 days picks up where you left off. What is on your own device is not touched by any of this, and never was ours to touch.
Your content
You own what you write. We claim no rights over any page, datatable or file you make in Ubimate or upload to it, and no ability to read them: content is encrypted before it reaches us, and for local use it never leaves your disk at all.
Your content does not expire when a subscription does. It is on your own device and stays readable whatever your billing status. Canceling stops sync and collaboration; it does not touch what is already on your machine.
Acceptable use
You agree not to use the service to:
- break any applicable law;
- store or distribute content that is illegal, harmful, threatening, abusive, defamatory, or infringes somebody else's rights;
- reach a system, network or account you are not authorized to reach;
- run denial-of-service attacks or deliberately overload our infrastructure;
- circumvent the measures that protect the service or other people's data.
We may suspend or terminate an account that breaks these rules, with notice where that is feasible.
Subscription and billing
Paid plans are billed monthly or annually in advance through Creem, our Merchant of Record. Prices are on the pricing section of the home page and are in euros.
- Cancellation — any time. The subscription runs to the end of the period you have paid for; unused time is not refunded pro rata.
- Refunds — a full refund within 14 days of a first purchase if it is not for you. Write to hello@ubimate.com.
- Price changes — at least 30 days' notice, by email or in the app.
- Launch offer — a subscription started on or before 31 December 2026, 23:59 UTC, carries a 40% discount that does not expire. It holds for as long as that subscription runs without lapsing, it survives a change to the base price — the discount applies to the new one — and it extends to any subscription plan we introduce later. It is a discount on subscription pricing only: charges billed by usage or consumption, should any exist, are payable at the standard rate. A subscription that ends keeps the offer through the same 30 days the server keeps its data, so restarting inside that window keeps the discount. After it the offer is gone, and resubscribing later is at the ordinary price.
Preview and beta features
Anything marked Preview or Beta comes without warranty and may change, be removed, or behave unexpectedly. Do not trust a beta feature with something you have no other copy of — though the HTML mirror on your disk means you usually do.
Disclaimer of warranties
The service and the applications are provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability and non-infringement. We do not warrant that they will be uninterrupted, error-free, or free of harmful components.
Limitation of liability
To the maximum extent the law permits, Ubimate and its affiliates are not liable for indirect, incidental, special, consequential or punitive damages arising from your use of the service or the applications, even where we were told such damages were possible.
Our total liability for any claim arising out of these terms will not exceed the greater of what you paid us in the 12 months before the claim, or €100.
Indemnification
You agree to indemnify and hold harmless Ubimate and its affiliates against claims, damages, losses or expenses, including reasonable legal fees, arising from your breach of these terms or your use of the service.
Governing law
These terms are governed by Estonian law, Estonia being where Ubimate is incorporated. Please write to us first: most disputes are quicker to settle at hello@ubimate.com than anywhere else. A dispute that cannot be settled that way goes to the competent courts of that jurisdiction.
Changes to these terms
We may update these terms. Material changes are announced at least 30 days before they take effect, by email if we have one for you and in the app if we do not. Continuing to use the service after that date accepts the new version.
